The EMEIA CFO Association is a trade name and brand name of Yellow Works B.V., a Dutch Private Limited Liability Company incorporated under Dutch law, having its registered office and maintaining a place of business at Van Goyenlaan 16, (3723 GP) Bilthoven, The Netherlands, registered in the Trade Registry of the Chamber of Commerce under CoC no. 5307.2537 and with VAT no. NL850733637B02.
1. Definitions
– The EMEIA CFO Association (“TECA”): The trade name and brand name under which the network of CFOs will be known and operated. This name is fully owned by Yellow Works B.V. as stated above.
– TECA member: The person who has concluded the participation agreement with TECA.
– TECA services: The package of services offered specifically to TECA members by TECA.
– TECA service agreement: the agreement between the TECA member and TECA with regard to TECA services.
– CFO Summits: the bi-annual in-person events bringing together members of TECA.
– Group CFO: the ultimate responsible person for the finance function within an organisation; hereafter referred to as “CFO”.
2. Applicability and TECA Service Agreement
1 These General Terms and Conditions shall apply to the TECA service agreement.
2. TECA membership is, after acceptance of TECA, open for CFOs of organisations with minimal annual revenue of EUR 10 billion, headquartered in Europe, Middle East, India or Africa.
3. TECA membership is established after submittance of the application by the prospective TECA member and subsequent acceptance and activation by TECA.
4. TECA membership is strictly personal and cannot be forwarded or delegated to any other person.
5. TECA membership is on an annual basis and per calendar year (January 1st – December 31st).
6. TECA membership will automatically continue for the next calendar year unless the member terminates the service agreement in writing at the latest before November 1st of the current year.
7. TECA is entitled to refuse or end membership at all times without any reasons.
3. TECA services
3.1 Members of The EMEIA CFO Association are entitled to the following four benefits:
a. attend in person the bi-annual TECA CFO Summits (including one night hotel room, dinner and two lunches all free of charge for each CFO Summit) consisting of a program with leading speakers and typically hosted by one of the member CFOs;
b. receive the quarterly TECA newsletter including updates from the network and external thought leadership;
c. access to the “members only” part of the TECA website;
d. nomination of one of the CFOs senior team members to participate in the annual TECA NextGen CFO Academy who, upon acceptance by TECA, has the right to participate in the annual TECA NextGen CFO Academy (including two nights hotel room, two dinners and all lunches free of charge). The TECA NextGen CFO Academy is a 2,5-day programme preparing senior finance managers on a potential CFO role in the future.
For all TECA events, travel costs are at the participants own expense.
4. Registration
4.1 In order to access the TECA services, you will be asked to register and create an account. As part of the registration process, you will be asked to click that you agree to these General Terms and Conditions and may then be asked to select or submit a password. You may also be required to provide TECA with certain information about yourself, including some types of personally identifiable information, such as your legal name, phone number, physical address and email address, as well as information related to the company your work for.
4.2 You respect that the personal information you provide to TECA via the TECA website is true, valid, complete, and up-to-date in all respects. Should any of the information you provide to TECA change, please login to your account and update such information directly on the TECA website. Any personal information that you provide to TECA via the TECA website and that TECA processes is subject to our Privacy Policy.
4.3 You are responsible for ensuring that your password and account login are kept secret, safe and secure at all times. You are solely responsible for any and all activities which occur under your account. TECA will not be held responsible or liable for any misuse of your account, including without limitation, in the event that a third party has access to and uses your password and account login in any way. In the event that your username or account login is used without your consent or that you discover any other breach of security, you agree to promptly notify us. We are not responsible for your failure to comply with this clause, or for any delay in shutting down your account after you have notified us.
4.4. TECA has the right to disable any user name, account login, password or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these General Terms and Conditions.
5. Participation fee
5.1 Each member of The EMEIA CFO Association is required to pay the annual service fee.
5.2 In exchange for the provision of the TECA services, TECA shall charge the annual service fee to the TECA member, directly upon acceptance of the TECA membership by TECA and subsequently once a year, based on the current rate for TECA services.
5.3 The rate of the annual service fee could change every year and will be communicated before the end of September of the previous year on the members page of TECA.
5.4 Payment of the service fee is due within 30 days after receipt of the invoice.
5.5 TECA members must ensure that the amount due each year has been received by TECA within the payment period. In the event that TECA has not received the service fee on time, the TECA member shall be in default and TECA shall be entitled to suspend the TECA Services.
6. TECA Access Policy and House Rules
6.1 TECA members are entitled to join and participate in the CFO Summits organized by TECA provided they have subscribed to the CFO Summit at least one week in advance before the start of the CFO Summit.
6.2 TECA members are expected to be properly dressed and to behave appropriately during the CFO Summits.
6.3 TECA has the right to refuse a TECA member access to the event or remove a TECA member during the event upon inappropriate behavior at the discretion of TECA.
6.4 At all times, TECA members should respect the rules and policies of the building, hotel or company where the CFO Summit is taking place.
6.5 At all times, TECA members should follow the (safety or other) instructions of the TECA team or local personnel of the location where the CFO Summit is taking place, especially during any incident, fire or other potentially unsafe situation.
7. Confidentiality and Privacy
7.1 Next to these General Terms & Conditions, the TECA Privacy Policy is providing detailed information about the way TECA and its members are dealing with confidential data and the protection of the privacy of its members.
7.2 In general, TECA members are expected to treat all information shared during the CFO Summits or other events organized by TECA with utmost confidentiality. So-called ‘Chatham House Rules’ will apply during the CFO Summits and other TECA organized events meaning that participants are free to use the information received, but neither the identity nor the affiliation of the speaker(s), nor that of any other participant, may be revealed.
7.3 During the CFO Summits or any other events organized by TECA, it is only allowed to take pictures or make videos of other participants or the TECA team upon their prior approval. Publication of pictures, video’s and/or names on social media or any other public location by participant is forbidden unless approved in advance by the specific person(s) and TECA.
8. Liability and indemnity
8.1 The liability of TECA for damage that is in any way connected to the TECA services shall be limited to the membership fee to be paid annually by the TECA member. This limitation of liability shall not apply if and insofar as TECA can be sued on the basis of mandatory applicable law, as well as in the event of willful intent or gross negligence on the part of TECA or its executive staff.
8.2 TECA cannot be held accountable or liable in case of any breach of the service agreement by a TECA member towards other members or any third party.
8.3 A TECA member shall indemnify TECA from and against any and all third-party claims, losses, liabilities, damages and expenses arising out or resulting from any negligence or willful misconduct of the TECA member or any breach of these General Terms and Conditions by the TECA member.
9. Duration and terminations
9.1 The TECA service agreement shall be concluded for an unlimited period of time. Either party shall be entitled to terminate the TECA service agreement. TECA members may terminate their membership via the TECA website (www.theemeiacfoassociation.com) after the first subscription year by the latest before November 1st for the coming year meaning a notice period of two months.
9.2 In the event a TECA member fails to comply to the provisions of the TECA membership agreement, TECA may dissolve this agreement without judicial intervention with immediate effect in whole or in part should such a failure warrant dissolution in TECA’s reasonable opinion. In that case, TECA shall have the right to set off any amounts already paid by the TECA member against the costs made by TECA in connection with the TECA member’s failure and the dissolution of the TECA membership agreement.
9.3 If a TECA member discontinues his/her CFO position, he/she is allowed to continue the TECA membership for one more year if he/she would like to do so. The TECA member who discontinues his/her CFO Position, is in any case allowed to continue his/her TECA membership till the end of the calendar year.
10. Breach of the General Terms and Conditions
9.1 If a TECA member breaches one of the articles of these General Terms and Conditions, TECA is entitled to impose a warning and/or a suspension on the TECA member.
11. Choice of law and settlement of disputes
11.1 The TECA membership agreement and any non-contractual obligations arising out of or in connection with it are governed by Dutch law.
11.2 The Parties shall use their best endeavours to settle any possible dispute in an amicable way. In the event conciliation fails, the court of Utrecht, the Netherlands has exclusive jurisdiction to settle any dispute arising out of or in connection with this Agreement (including a dispute regarding the existence, validity or termination of this agreement).
